Developments on the Fringe: Article 2 Revisions, Computer Contracting, and Suretyship

Abstract
Recent amendments to Article 2A and 4A of the Uniform Commercial Code (UCC) have not dealt with the many commercial transactions on the fringes of the UCC's scope. The growing patchwork of legal principles governing important new varieties of commercial transactions undermines the UCC as a pre-emptive, systematic, and comprehensive enactment of the entire area of the law. A UCC Article 2 Study Group made only conservative recommendations regarding changes in the Article's scope. The UCC Article 2 revisions and the National Conference of Commissioners on Uniform State Laws software contracting project both point in the direction of increased scrutiny of the law of computer software contracts. The American Law Institute has decided to begin the drafting of a Restatement of Suretyship. The Restatement drafters should consider other bodies of law affecting the suretyship when considering the scope to the security relationship.
