Abstract
The last two decades have witnessed unprecedented amounts of corporate fraud and expropriation of shareholder wealth. Accounting scandals such as those at Enron, WorldCom, and others have sparked a public outcry for improved firm governance and shareholder protection. As a consequence, research related to corporate governance has exploded in the scholarly literature and stories abound in the popular press.
